1. Who we are

This website at karwon.ae (the "Site") is operated by Karwon Composites L.L.C ("Karwon", "we", "us", "our"), a limited liability company registered in Dubai, United Arab Emirates.

2. Acceptance of these terms

By accessing or using the Site, submitting an enquiry, or downloading any material from the Site, you agree to these Terms of Use. If you do not agree, please do not use the Site.

If you use the Site on behalf of a company or other organisation, you confirm that you have authority to bind that organisation, and "you" means that organisation.

We may update these terms at any time. The version published on the Site at the time you use it is the version that applies. Material changes will be reflected in the "Last updated" date above.

3. Nature of the Site

The Site is provided for general information about Karwon and the products and services we supply. It is intended for business users, not consumers.

Nothing on the Site is an offer capable of acceptance, and nothing on the Site creates a binding contract for the sale or supply of any product.

4. Product information and technical data

We take reasonable care to ensure that product information published on the Site is accurate at the time of publication. However:

  1. a. All dimensions, tolerances, weights, fibre grades, resin systems, finishes, mechanical properties, size ranges and lengths shown on the Site or in any downloadable datasheet are indicative and typical values only. They are not a specification, not a guarantee, and not a warranty of performance.
  2. b. Actual values vary by production batch, manufacturing process, supplier and product form. Binding specifications and tolerances are only those expressly stated in a written quotation, proforma invoice or supply contract issued and signed by Karwon.
  3. c. Product availability, stock position and lead times shown or implied on the Site are indicative and are subject to confirmation at the time of enquiry.
  4. d. Product images are illustrative and may not represent the exact item, colour, weave or finish supplied.
  5. e. Suitability is your responsibility. You are solely responsible for determining whether a product is fit for your intended application, design, load case, environment or regulatory requirement, and for carrying out your own testing and qualification. We do not accept liability for any design decision, structural calculation, certification submission or end-use application based on information published on the Site.
  6. f. Where we provide or reference a test report or any other document relating to supplied material, that document reflects only the material it describes and is not a warranty in respect of any other consignment.

5. Quotations, enquiries and orders

  1. a. A quotation, budgetary indication or price given through the Site, by email, or through WhatsApp is an invitation to treat and is valid only for the period stated on it.
  2. b. A binding contract of sale arises only when Karwon issues a written order confirmation or proforma invoice and the stated payment or acceptance condition is met.
  3. c. All sales are subject to Karwon's General Terms and Conditions of Sale in force at the date of the order confirmation, which are supplied with our quotations and proforma invoices and which prevail over these Terms of Use in respect of any supply of goods.
  4. d. Any purchase order terms, vendor portal terms or standard conditions you issue do not apply unless we accept them in writing, signed by an authorised signatory of Karwon.

6. Enquiries and information you submit

When you submit an enquiry, request for quotation or datasheet request through the Site, you agree that:

  1. a. The information you provide is accurate, current and complete, and you are entitled to provide it.
  2. b. You will not submit confidential, classified, export-controlled or third-party proprietary information through the Site's forms or messaging channels. If you need to share controlled or confidential technical data, contact us first so that a confidentiality agreement and a secure channel can be put in place.
  3. c. Any technical requirement, drawing or description you send is submitted on a non-confidential basis unless a written confidentiality agreement is already in place between us.
  4. d. We may use the information you submit to respond to you, prepare a quotation, and manage our relationship with you, as described in our Privacy Policy.

7. Downloadable materials

Datasheets, brochures, company profiles and other documents made available for download from the Site are provided to you under a limited, non-exclusive, non-transferable, revocable licence for your internal business evaluation and procurement purposes only.

You may not:

  1. a. Redistribute, republish, resell or make any such document publicly available;
  2. b. Remove, alter or obscure any Karwon branding, notice, document reference or version marking;
  3. c. Use any such document to represent, market or supply products of any other party;
  4. d. Present any such document as your own or as the document of any third party.

We may revise or withdraw any document at any time. It is your responsibility to check that you hold the current version before relying on it.

8. Intellectual property

All content on the Site, including text, product descriptions, page structure, photographs, graphics, layout, the name "Karwon", "Karwon Composites", the Karwon mark and logo, the tagline "The core of what you build.", and all datasheets and downloadable documents, is owned by or licensed to Karwon and is protected by applicable intellectual property laws.

You may view the Site and print or download individual pages for your own internal business use. You may not otherwise copy, adapt, reproduce, republish, frame, mirror, distribute, or exploit any part of the Site commercially without our prior written consent.

Third-party names, trademarks and fibre grade designations referred to on the Site remain the property of their respective owners and are used for identification purposes only. Reference to a grade or standard does not imply any endorsement by, affiliation with, or authorisation from the owner of that mark.

9. Acceptable use

You must not:

  1. a. Use the Site for any unlawful, fraudulent or harmful purpose;
  2. b. Use any automated system, robot, scraper, crawler or data-harvesting tool to extract content, contact details, pricing or datasheets from the Site, other than search engine crawlers operating in accordance with our published robots directives;
  3. c. Submit false, misleading or impersonating information through any form on the Site;
  4. d. Use our enquiry forms, email addresses or WhatsApp channel to send unsolicited commercial communications, bulk marketing or spam;
  5. e. Attempt to gain unauthorised access to the Site, any server, or any system connected to it, or introduce any virus, malicious code or harmful material;
  6. f. Interfere with the proper working of the Site or impose an unreasonable load on our infrastructure.

We may suspend or block access to the Site, and refuse to deal with any enquiry, at our discretion.

10. Export control, sanctions and end use

Carbon fibre, carbon fibre composites and certain related materials are subject to export control and dual-use regulation in the United Arab Emirates and in other jurisdictions.

By using the Site and by submitting any enquiry or order, you confirm and agree that:

  1. a. You will comply with all applicable export control, import, re-export, customs and sanctions laws and regulations, including those of the United Arab Emirates and any other jurisdiction that applies to the transaction;
  2. b. You will not order, acquire, use, resell, re-export or transfer any product supplied by Karwon in connection with any nuclear, chemical or biological weapons programme, any missile or unmanned delivery system programme, or any other prohibited or restricted end use;
  3. c. You are not, and are not acting on behalf of, any person or entity that is subject to applicable sanctions or that appears on any applicable restricted-party or denied-party list;
  4. d. You will provide, on request, accurate end-user and end-use information, including any end-user certificate or undertaking we reasonably require;
  5. e. We may decline, suspend or cancel any enquiry, quotation or order, at any time and without liability, where we consider in our sole discretion that proceeding may breach any applicable export control, sanctions or dual-use restriction, or where required end-use information is not provided.

11. Availability of the Site

The Site is provided on an "as is" and "as available" basis. We do not warrant that the Site will be uninterrupted, error free, secure, or free from viruses or other harmful components. We may suspend, withdraw or restrict all or part of the Site at any time without notice.

12. Third-party links

The Site may contain links to third-party websites, including social media platforms and supplier or standards-body pages. Those links are provided for convenience only. We do not control and are not responsible for the content, products, services or privacy practices of any third-party site.

13. Limitation of liability

To the fullest extent permitted by applicable law:

  1. a. We exclude all representations, warranties and conditions relating to the Site and its content that are not expressly set out in these terms;
  2. b. We shall not be liable to you for any loss of profit, loss of revenue, loss of contract, loss of anticipated savings, loss of business opportunity, loss of goodwill, loss of data, production downtime, cost of rework or replacement, or any indirect or consequential loss, arising out of or in connection with your use of, or inability to use, the Site or any material downloaded from it;
  3. c. Our total aggregate liability arising out of or in connection with the Site and these Terms of Use, whether in contract, tort including negligence, or otherwise, shall not exceed one thousand United Arab Emirates Dirhams (AED 1,000);
  4. d. Nothing in these terms excludes or limits any liability that cannot lawfully be excluded or limited, including liability for fraud or fraudulent misrepresentation.

Liability arising from the supply of goods is governed by our General Terms and Conditions of Sale, not by this clause.

14. Indemnity

You agree to indemnify and hold Karwon, its owner, officers and employees harmless against all claims, damages, losses, costs and expenses, including reasonable legal fees, arising out of or in connection with your breach of these Terms of Use, your misuse of the Site or any downloadable material, or your breach of clause 10 (Export control, sanctions and end use).

15. Privacy

Our handling of personal data is described in our Privacy Policy, which forms part of these Terms of Use.

16. Severability and waiver

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions continue in full force. Our failure to enforce any provision is not a waiver of it.

17. Governing law and jurisdiction

These Terms of Use, and any dispute or claim arising out of or in connection with them or with your use of the Site, including non-contractual disputes or claims, are governed by the federal laws of the United Arab Emirates and the laws of the Emirate of Dubai.

The courts of Dubai, United Arab Emirates shall have exclusive jurisdiction.
